1. Agreement
Boxoo is a product of Vivora, LLC, a Delaware limited liability company (“Boxoo”, “we”, “us”, and “our”). These Terms of Service (“Terms”) govern your access to and use of Boxoo’s websites, application, AI agents, reports, actions, and related services (the “Service”). By using the Service, you agree to these Terms and our Privacy Policy. If you use Boxoo for an organization, you confirm that you have authority to bind that organization, and “you” includes that organization.
If you do not agree to these Terms, do not use the Service.
2. Eligibility and accounts
You must be at least 18 years old and legally capable of entering a contract. You must provide accurate account information, keep access credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for managing invitations and roles in your workspace.
Workspace owners control the workspace, its connected accounts, members, and business data. If you join a workspace through an organization, its owner may access, manage, export, or delete content in that workspace and may remove your access.
3. Connected services and permissions
You may connect Google Ads, Google Analytics, Google Sheets, CRM, and other third-party services. You confirm that you are authorized to grant Boxoo the requested access and to process the data made available through those connections.
Third-party services are governed by their own terms and policies. Their availability, data, and actions are outside Boxoo’s control. You can disconnect a service in Boxoo and may also revoke access directly with the provider. Your use of Google services remains subject to applicable Google terms and policies.
4. AI output and advertising decisions
Boxoo provides analysis and decision support. AI-generated findings can be incomplete or incorrect. You remain responsible for reviewing outputs and deciding whether an advertising action is suitable.
Performance forecasts, expected impact, recommendations, and classifications are estimates, not guarantees. Past performance does not guarantee future results. Boxoo does not provide legal, tax, accounting, or financial advice.
When a feature can modify a connected advertising account, you authorize Boxoo to submit only the action you approve or the automated action you have explicitly configured. You are responsible for account budgets, targeting, policy compliance, landing pages, and the consequences of submitted changes.
5. Acceptable use
You may not use the Service to:
- violate law, third-party rights, advertising-platform rules, or connected-service terms;
- access data or accounts without permission, bypass roles or security controls, or test another customer’s workspace;
- upload malicious code, disrupt the Service, overload systems, scrape protected areas, or probe for vulnerabilities without written authorization;
- misrepresent identity, send spam, facilitate fraud, or generate unlawful or deceptive advertising;
- sell, sublicense, or provide the Service as a competing product unless we agree in writing; or
- reverse engineer the Service except where applicable law expressly permits it.
We may investigate violations and suspend access when reasonably necessary to protect the Service or others.
6. Plans, trials, and payment
Features, usage limits, and prices are those presented when you choose a plan or in an order agreed with Boxoo. If a paid plan is offered, you authorize the stated charges and applicable taxes. Recurring plans renew for the period shown at purchase unless cancelled before renewal.
Trial, beta, promotional, or evaluation access may have different limits and may be changed or ended as disclosed when the access is offered. We will not charge you unless you have selected a paid plan or otherwise authorized payment.
7. Your content and feedback
You retain ownership of content and business data you submit. You give Boxoo a limited right to host, copy, process, transmit, and display that content as needed to provide, secure, support, and improve the Service and as described in our Privacy Policy.
You confirm that you have the rights and permissions needed for the content and data you provide. If you send product feedback, you allow us to use it without restriction or compensation, but we will not treat your confidential business data as product feedback merely because it appears in a support request.
8. Boxoo rights
Boxoo and its licensors own the Service, software, visual design, documentation, and related intellectual property. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your authorized access.
9. Service changes, suspension, and termination
We may update the Service, add or remove features, impose reasonable limits, or stop part of the Service. We may suspend or terminate access for material breach, non-payment, security risk, unlawful activity, or to protect Boxoo, users, connected providers, or others. Where practical, we will give notice and an opportunity to resolve the issue.
You may stop using Boxoo, disconnect services, or request account and workspace deletion. See our Data Deletion page. Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limits, and dispute terms—will survive.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. Boxoo disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant the accuracy of third-party data, AI output, advertising results, or availability of connected services.
11. Limitation of liability
To the maximum extent permitted by law, Boxoo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, advertising opportunities, or business interruption arising from the Service.
To the maximum extent permitted by law, Boxoo’s total liability for all claims relating to the Service will not exceed the amount you paid Boxoo for the Service during the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded.
12. Indemnity
To the extent permitted by law, you will defend and indemnify Boxoo against third-party claims, losses, and reasonable costs arising from your content, your connected accounts, your advertising actions, your violation of law or third-party rights, or your material breach of these Terms.
13. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-law rules. Courts with jurisdiction in Dubai will have exclusive jurisdiction, unless applicable consumer law requires otherwise.
14. Changes and contact
We may update these Terms. We will post the revised version and update the effective date, and will give additional notice when required. Continued use after the effective date means you accept the updated Terms.
